Terms of Service

These Terms of Service ("Terms") govern the provision of website design, web development, and website support services by Leading Edge Web Studio, LLC ("Company," "we," "us") to you ("Client"). Engaging our services constitutes your acceptance of these Terms.

1. Scope of Services

Leading Edge Web Studio, LLC will provide the website design, web development, and website support services as detailed in a formal Proposal or Statement of Work (SOW). The SOW will specify the deliverables, timelines, and strategies for the engagement. Any services outside this scope will require a separate agreement.

2. Payment and Fees

The Client agrees to pay the fees as outlined in the SOW. Most services are billed on a recurring monthly retainer, payable in advance. All invoices are due upon receipt. We reserve the right to pause services for accounts with overdue payments.

3. Client Obligations

The Client shall provide all necessary access to information, digital assets (such as website backends and ad accounts), and personnel required for us to perform the services. The Client is responsible for the accuracy and legality of all materials they provide.

4. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes business strategies, performance data, and other proprietary information. This duty of confidentiality extends beyond the termination of our service agreement.

5. Intellectual Property

The Client retains ownership of all their pre-existing brand assets and intellectual property. All specific work product created by Leading Edge Web Studio, LLC for the Client as part of the paid services (e.g., custom ad copy, graphics, reports, website layouts) becomes the property of the Client upon full and final payment.

6. Limitation of Liability

Leading Edge Web Studio, LLC agrees to perform its services with professional skill and care. However, we do not guarantee specific marketing or revenue outcomes, as performance is subject to external factors beyond our control. Our liability for any claim arising from our services is limited to the fees paid for the services in the preceding month.

7. Termination

Either party may terminate this agreement with thirty (30) days written notice. The Client is responsible for payment for all services rendered up to the effective date of termination.

8. Governing Law

These Terms are governed by the laws of the jurisdiction where Leading Edge Web Studio, LLC is registered.
